Your Agreement to Terms of Use.

This website (the “Site”) is operated by DBS LLP (“DBS”). The Site provides information, data, articles, publications, and other materials accessible to the general public (the “Content”). The Site is provided to you subject to your compliance with these terms and conditions of use and the terms and conditions of the DBS Privacy Statement (collectively, the “Terms”). By accessing or using the Site, you agree to be bound by these Terms, which is a legal agreement between you and DBS. If you do not agree to be bound by, and comply with, the Terms, you are not permitted to access or use the Site.

DBS may revise these Terms at any time without notice, and use of the Site after such changes are posted will signify your acceptance of the revised Terms.

No Lawyer-Client Relationship

Your access to, or use of, the Site does not create a lawyer-client, other professional-client or fiduciary relationship. Subject to the Terms, DBS grants to you a non-exclusive, non-transferable and revocable licence to access and use the Site and the Content only to display and save on your own computer, download and print a copy of the Content for your use, provided that the Content is not modified (“Permitted Uses”). By accessing or using the Site or the Content, or by displaying, saving, downloading or printing a copy of any Content, you do not acquire any other right or licence to the Site or the Content.

Termination

If you breach any of these Terms, you may no longer use this Site. DBS may, in our sole discretion, acting reasonably or unreasonably, cancel or terminate your right to use this Site, or any part of this Site, at any time without notice. In the event of termination, you are no longer authorized to access this Site or the part of this Site affected by such cancellation or termination. In such event, the restrictions that these Terms impose on you with respect to this Site shall still apply. DBS is not liable to you for any damages arising from such a termination.

Entire Agreement

These Terms, including the terms of the Privacy Policy constitute the entire agreement (this “Agreement”) between you and DBS relating to your access and use of this Site. DBS does not waive any of its rights by not insisting upon strict performance of any provision of this Agreement. If a court determines that any of the provisions contained in this Agreement are void, invalid or unenforceable, such determination will not affect the validity and enforceability of the rest of this Agreement.

Governing Law and Jurisdiction

This Agreement is governed by, and is to be interpreted in accordance with, the laws of the Province of Ontario and the laws of Canada applicable in Ontario. The parties to this Agreement hereby attorn and submit to the exclusive jurisdiction of the courts of Ontario and the federal courts of Canada situated therein.
